These Terms and Conditions of Sale (“Terms”) govern the sale of goods and the provision of services by B2B Machinery Canada (“B2B Machinery”), to the purchaser (“Purchaser”). The Purchaser acknowledges and accepts that these Terms form an integral part of any final sales contract that may be established between the Purchaser and B2B Machinery (“Sales Agreement”). If any disparities arise between these Terms and the terms found in any offer, order confirmation, or other document issued by B2B Machinery (“Additional Documents”), the terms outlined in the Additional Documents will take precedence. B2B Machinery reserves the right to modify these Terms at its sole discretion and at any time. Unless explicitly agreed upon in writing, B2B Machinery is not bound by any terms and conditions attached to the Purchaser’s purchase order or other procurement documents that go beyond or contradict these Terms or the Additional Documents. These Terms cannot be altered, supplemented, limited, or construed by any customary trade practices or past interactions, unless explicitly included in writing as part of these terms.

Section 2.3: B2B Machinery will not consider any order submitted by the Purchaser as accepted until a written confirmation is provided by B2B Machinery through an order confirmation. Any additional requests from the Purchaser for goods and services that were not originally included in an initial offer or the Purchaser’s order must be acknowledged and confirmed in writing by B2B Machinery.
Section 3.1: Once B2B Machinery has finalized a Sales Agreement, any attempts by the Purchaser to cancel or modify it must receive written approval from B2B Machinery . Furthermore, this approval is contingent upon the Purchaser fully indemnifying B2B Machinery against all losses (including profit losses), expenses (including labor and material costs), damages, charges, and incurred expenses due to the alteration or cancellation. Any adjustments necessary in terms of the purchase price and the timeline for delivering goods and providing services will be made to accommodate these changes.
